The opportunity

TechnologyAdvice is looking for a practical, business-minded Associate Counsel to join our global Legal team. This role is designed for an early-career attorney who is eager to build broad in-house experience across commercial contracts, corporate compliance, data privacy, employment matters, and international legal operations.

The Associate Counsel will work closely with senior legal and business leaders to review and negotiate agreements, research legal and regulatory issues, support compliance initiatives, and provide clear, practical guidance to internal stakeholders. The ideal candidate is a licensed Philippine attorney with strong foundational legal skills, sound judgment, excellent attention to detail, and a willingness to learn quickly in a fast-paced business environment.

Employment Level: Mid-Level II Employment Type: Full Time Location: Philippines Working Hours: 9:00 p.m. to 6:00 a.m. PHT from April through October and 10:00 p.m. to 7:00 a.m. PHT from November through March

What you'll do

  • Draft, review, and negotiate commercial agreements, including NDAs, master services agreements, insertion orders, vendor agreements, amendments, and other business contracts.
  • Identify legal and commercial risks in proposed agreements and provide practical recommendations to internal stakeholders.
  • Support senior legal leadership in developing negotiation strategies, fallback positions, contract templates, clause libraries, and legal playbooks.
  • Advise internal teams on routine contractual questions and escalate higher-risk or novel issues as appropriate.
  • Conduct legal research and prepare clear, concise summaries regarding Philippine and international laws, regulations, and compliance requirements.
  • Assist with corporate governance, entity maintenance, regulatory filings, and other legal requirements involving the company’s international operations.
  • Support the company’s data privacy program, including responding to privacy-related requests, reviewing data protection terms, and helping evaluate privacy requirements.
  • Assist with employment, corporate, compliance, and other general legal matters under the direction of senior legal leadership.
  • Maintain accurate records of contracts, corporate documents, legal advice, and other legal materials.
  • Coordinate with Finance, Sales, Revenue, Human Resources, Technology, Security, and other departments to support compliance with contractual and legal obligations.
  • Assist with vendor onboarding, due diligence, security questionnaires, privacy assessments, and related documentation.
  • Help develop and improve legal processes, workflows, policies, training materials, and internal guidance.
  • Monitor developments in relevant laws and regulations and communicate material changes to appropriate stakeholders.
  • Manage assigned legal matters and projects from intake through completion, with appropriate supervision and escalation.
  • Provide other legal and administrative support as needed.

Who you are

  • Juris Doctor, Bachelor of Laws, or equivalent law degree required.
  • Active member in good standing of the Philippine Bar.
  • Approximately two to four years of relevant legal experience, preferably involving commercial contracts, corporate law, data privacy, employment law, regulatory compliance, or in-house legal support.
  • Prior experience in a law firm or corporate legal department is preferred.
  • Experience supporting technology, media, marketing, software, advertising, or lead-generation businesses is a plus.
  • Strong foundation in contract interpretation, legal research, issue spotting, and legal writing.
  • Able to distinguish between material legal risks and routine business issues and to recommend practical next steps.
  • Comfortable working under the supervision of senior counsel while independently managing routine matters.
  • Excellent written and spoken English communication skills across email, Slack, video calls, and formal legal documents.
  • Strong organizational and time-management skills, with the ability to manage competing priorities while maintaining accuracy.
  • Highly attentive to detail without losing sight of broader business objectives.
  • Curious, resourceful, and willing to ask thoughtful questions when additional guidance is needed.
  • Sound professional judgment and discretion when handling confidential or sensitive matters.
  • Proactive and comfortable taking ownership of assignments from beginning to completion.
  • Able to operate effectively in a fast-paced, evolving environment where priorities may shift quickly.
  • Comfortable working U.S. business hours.
  • Must have a reliable computer, internet connection, and backup connectivity.
