We are seeking a Senior Legal Counsel to lead and support legal matters across corporate, commercial, and project development activities globally, primarily in the European, Middle East and Australian markets. This role will be critical in structuring, negotiating, and executing complex energy and infrastructure projects. The position will be Based in Europe, preferably in Madrid or London, where Rondo has offices.

What You Will Do (key responsibilities for this role include but are not limited to):

  • Advise on corporate and commercial legal matters, including company structuring, governance, and day-to-day legal support.
  • Draft, review, and negotiate term sheets, commercial agreements, and client contracts, ensuring alignment with project finance requirements and bankability standards, including risk allocation, guarantees and security package. Familiarity with energy as a service, equipment leasing, and OEM/CapEx business models is a strong plus.
  • Lead legal support for project finance structuring, including financing agreements, security packages, and negotiations with equity and debt suppliers.
  • Structure and negotiate long-term strategic partnerships, joint development arrangements, and other complex commercial collaborations.
  • Structure and negotiate key project agreements with subcontractors (EPC, O&M, supply agreements, and related contracts).
  • Support the development and execution of energy and clean tech projects across Europe and other international markets, including Australia.
  • Support on applicable EU (and Australian) regulatory frameworks, incentives, grants, and subsidy-related contractual and compliance matters, coordinating with external grant and regulatory specialists as needed.
