About the role

We are seeking candidates for the position of Senior Legal Counsel (M&A/ Corp. / Finance) for our client - one of the largest international players in the renewable energy sector in Ukraine. The company specializes in the development, construction, and operation of solar and wind power plants. Location: Kyiv, hybrid format (3 days in the office, up to 2 days remote) Reporting to: Head of Legal & Compliance What the Company offers: - Opportunity to join a fast-growing international business operating in the renewable energy sector - Participation in high-profile cross-border projects, including M&A and international financing transactions - Exposure to sophisticated English law-governed agreements and international corporate structures - Dynamic and collaborative working environment with international standards and transparent communication culture - Professional growth opportunities within an ambitious and sustainable business - Hybrid working format and modern office environment in Kyiv Key Responsibilities: - Support potential M&A transactions, including acquisition and disposal of assets, partnerships, transaction structuring, legal due diligence, drafting and negotiation of transaction documents, and closings - Provide legal support for financing projects involving international and local financial institutions, including IFIs and DFIs (finance structuring, finance documentation, security arrangements) - Handle corporate matters for group companies in Ukraine and the UK, including corporate governance, resolutions, approvals, register updates, and group restructuring matters - Support finance-related legal matters, including guarantees, loans, banking agreements, bonds, deposits, security arrangements, intra-group financing, and dividends - Support foreign economic activity and cross-border operations, including contracts involving foreign counterparties and UK group companies - Advise on HR-related legal matters, including employment issues, internal policies, hiring and termination processes - Provide legal support for back-office operations, including procurement, service agreements, and corporate events Qualification criteria: - Native Ukrainian speaker with English level B2+ and strong legal drafting and negotiation skills - 7+ years of relevant legal experience at a TOP-20 law firm (preferably corporate or finance practice) or in-house at a medium-to-large international company - Full higher legal education; LL.M. degree from a foreign university and/or studies focused on English contract law will be an advantage - Strong expertise in commercial, contract, and corporate law - Experience with foreign economic activity and cross-border transactions - Experience working with English law-governed contracts - Proven experience supporting complex transactions, including those involving foreign elements - Experience supporting M&A transactions and conducting legal due diligence - Strong project management skills with experience coordinating external legal advisors and internal stakeholders - Business-oriented mindset with strong understanding of commercial risks and practical legal solutions - Proactive, detail-oriented, structured, and analytical approach to work - Excellent written communication and contract negotiation skills - Collaborative and respectful team player with a transparent and open communication style.
